第一章 总 则

Chapter 1  General Provisions

 

第一条 为强化公司治理,保障公司健康可持续发展,泸州老窖股份有限公司(以下简称“公司”)制定举报与举报人保护政策,确保利益相关方能够畅通无阻地表达意见、举报违规行为,同时保护举报人的合法权益,避免任何形式的报复。

Article 1 

To strengthen corporate governance and ensure the sound and sustainable development of the Company, Luzhou Laojiao Co., Ltd. (hereinafter referred to as the "Company") has formulated this Whistleblowing and Whistleblower Protection Policy. The Policy aims to ensure that stakeholders can express their opinions and report violations without hindrance, while protecting the legitimate rights and interests of whistleblowers against any form of retaliation.

 

第二条 本政策适用于公司及其全资或控股子公司、全体员工、全部供应商、客户等商业伙伴,以及所有其他利益相关方。

Article 2

This Policy applies to the Company and its wholly-owned or controlled subsidiaries, all employees, commercial partners including suppliers and customers, as well as all other stakeholders.

 

第二章 举报与举报人保护内容

Chapter 2  Contents of Whistleblowing and Whistleblower Protection

 

第三条 举报范围与管理

(一)举报范围覆盖公司、子公司、各部门(单位)、全体员工,贯穿公司生产经营管理和业务拓展的各个环节。

(二)举报内容包括但不限于:贪污腐败、不正当竞争行为、数据信息安全风险等违纪违法问题。

(三)公司纪检监察办、安全生产管理中心、人力资源管理中心等相关职能部门按职能职责分别对举报事项调查核实与跟踪办理。

(四)各有关部门(单位)应当认真受理、依纪依法依规办理,切实保护举报人、公司和被举报人合法权益。

Article 3  Scope and Administration of Whistleblowing

1.The scope of whistleblowing covers the Company, its subsidiaries, all departments (units) and all employees, and extends to all links of the Company's production, operation, management and business development.

2.Reportable matters include, but are not limited to, corruption, unfair competition practices, data and information security risks, and other disciplinary or illegal violations.

3.The Company's Discipline Inspection and Supervision Office, Work Safety Management Center, Human Resources Management Center and other relevant functional departments shall conduct investigation, verification and follow-up handling of reported matters in accordance with their respective functions and responsibilities.

4.All relevant departments (units) shall earnestly accept and handle reports in accordance with disciplines, laws and regulations, and effectively protect the legitimate rights and interests of whistleblowers, the Company and the reported persons.

 

第四条 举报渠道

公司积极建设多元畅通的意见反馈渠道,确保举报处理流程有效运作。举报人可通过电话、信件等多种方式进行反馈,全面保障举报人合法权益。举报电话:0830-2398612。

公司不定期开展培训活动,确保举报管理流程高效运转。建立举报登记台账,确保举报信息与调查记录充分、详细、可追溯。对于已经解决的实名举报事件,由承办部门按程序向举报人反馈处理结果,实现举报全流程闭环管理。

Article 4  Whistleblowing Channels

The Company actively establishes diverse and unobstructed channels for feedback to ensure the effective operation of the whistleblowing handling process. Whistleblowers may provide feedback through various means such as telephone and written correspondence, so as to fully protect their legitimate rights and interests.

Whistleblower Hotline: 0830-2398612.

The Company conducts irregular training activities to ensure the efficient operation of the whistleblowing management process. A whistleblowing registration ledger shall be established to ensure that whistleblowing information and investigation records are complete, detailed and traceable. For settled real-name reports, the responsible department shall feed back the handling results to the whistleblower in accordance with procedures, realizing closed-loop management of the entire whistleblowing process.

 

第五条 举报人权利

举报人在举报、申诉活动中有以下权利:

(一)对员工违规违法行为提出举报;

(二)举报人有权要求对自己的姓名、举报行为、举报内容进行保密;

(三)对其反映的问题查处不服,要求复议、复查; 

(四)对调查部门及调查人员的失职行为和其他违规违法行为提出反映;

(五)因检举控告致其合法权利受到威胁或者侵害的,可以提出保护申请;

(六)实名举报、申诉经查证属实,对突破重大案件起到重要作用,或者挽回重大经济损失的,公司可以按规定对举报人、申诉人予以奖励。

 

Article 5  Rights of Whistleblowers

Whistleblowers shall have the following rights in whistleblowing and appeal activities:

1.To report disciplinary or illegal violations by employees;

2.To request confidentiality of their identity, whistleblowing act and reported content;

3.To apply for reconsideration or re-examination if dissatisfied with the investigation and handling of the reported matter;

4.To report dereliction of duty and other violations by investigation departments and investigators;

5.To apply for protection if their legitimate rights and interests are threatened or infringed upon due to whistleblowing;

6.To be rewarded by the Company in accordance with relevant provisions if the real-name report or appeal is verified to be true, plays an important role in cracking major cases, or recovers significant economic losses for the Company.

 

第六条 举报人保护

公司严格落实《纪检监察机关处理检举控告工作规则》《信访条例》以及公司《举报与举报人保护政策》等要求,对举报人提供合法的保护措施。凡接触举报信息的人员必须严格遵守保密纪律,不得泄露举报人信息、举报内容及调查情况。对于实名举报,办理部门应及时反馈处理结果,并对举报人信息进行严格保护。严格落实回避制度,禁止任何形式的打击报复行为,确保举报人的合法权益不受侵害。

Article 6  Protection of Whistleblowers

The Company strictly implements the Rules for Discipline Inspection and Supervision Organs on Handling Whistleblowing and Accusation, the Regulations on Letters and Visits, as well as this Policy, and provides lawful protection measures for whistleblowers.All personnel with access to whistleblowing information must strictly abide by confidentiality disciplines and shall not disclose whistleblower information, reported content or investigation details. For real-name reports, the handling department shall promptly feed back the handling results and strictly protect whistleblower information.The recusal system shall be strictly implemented, and any form of retaliation shall be prohibited to ensure that the legitimate rights and interests of whistleblowers are not infringed.

 

第七条 审核与更新

公司定期审核并更新本政策,确保其适应实际需要并有效执行。

Article 7  Review and Update

The Company shall regularly review and update this Policy to ensure it meets practical needs and is effectively implemented.
