泸州老窖股份有限公司(以下简称“泸州老窖”或“公司”)承诺践行最高标准的劳动权益、人权、环境责任和道德行为,要求其所有供应商在所有事务中均遵守相关法律法规,并以道德标准行事,特此制定《泸州老窖供应商行为准则》(以下简称“本准则”),致力于与供应商携手一同打造可持续供应链。

Luzhou Laojiao Co., Ltd. (hereinafter referred to as "Luzhou Laojiao" or the "Company") commits to practicing the highest standards of labor rights, human rights, environmental responsibility, and ethical conduct. The Company requires all its suppliers to comply with relevant laws and regulations in all matters and to act according to ethical standards. This Supplier Code of Conduct for Luzhou Laojiao (hereinafter referred to as "this Code") is hereby established, dedicated to collaborating with suppliers to build a sustainable supply chain.


1 目的

本准则旨在明确泸州老窖对供应商的企业社会责任管理要求,确保供应商采用符合社会责任的方式生产产品或提供服务,促进产业链的可持续发展。


1 Purpose

This Code aims to clarify Luzhou Laojiao's corporate social responsibility management requirements for suppliers, ensuring that suppliers produce goods or provide services in a socially responsible manner and promoting the sustainable development of the industrial chain.


2 适用范围

本准则适用于向公司及子公司提供产品及/或服务的所有供应商、承包商及合作伙伴。


2 Scope of Application

This Code applies to all suppliers, contractors, and partners that provide products and/or services to the company and its subsidiaries.


3 遵守的法律法规

供应商应严格遵守其所在国家、地区的所有适用的法律、法规及条例,包括但不限于与商业道德、劳工和人权、环境保护、职业健康与安全相关的法律法规,并以负责任的方式行事。


3 Compliance with Laws and Regulations

Suppliers shall strictly comply with all applicable laws, regulations, and ordinances of their respective countries and regions, including but not limited to those related to business ethics, labor and human rights, environmental protection, and occupational health and safety. Suppliers shall act responsibly.


4 商业道德

遵守法律法规:供应商经营业务时必须遵守业务所在地区最高商业道德标准及所有适用的反腐败相关法律法规,并保持良好的公司治理。

内部制度:供应商必须承诺严格遵守《泸州老窖有限公司商业道德与反腐败政策》,与泸州老窖签订廉洁共建协议并严格执行,主动按照协议开展自我监督,并接受泸州老窖监督。

杜绝贿赂:供应商应对任何贿赂与贪污行为采取零容忍政策,自觉抵制腐败行为。

公平竞争:供应商应支持诚信、开放、公平、竞争性的商业环境,禁止参与围串标,禁止弄虚作假或其他不正当、不诚信行为。

利益冲突:供应商应采取措施避免一切形式的利益冲突行为,规范员工职责边界。

信息安全与保密:供应商应保护并正当使用保密信息,确保公司和业务伙伴的机密信息及有效知识产权受到保护,不得从事会侵犯公司或他人知识产权或损坏公司声誉的任何活动。同时,如果供应商承担的合同或法律义务要求其不泄露与其他任何一家公司有关的信息,则供应商不得向公司的任何员工透露相关信息。


4 Business Ethics

l Compliance with Laws: Suppliers must adhere to the highest standards of business ethics and all applicable anti-corruption laws and regulations in their operating regions and maintain good corporate governance.

l Internal System: Suppliers must undertake to strictly comply with the Business Ethics and Anti-Corruption Policy of Luzhou Laojiao Co., Ltd., sign an integrity cooperation agreement with Luzhou Laojiao and strictly implement it, take the initiative to conduct self-supervision in accordance with the agreement, and accept monitor by Luzhou Laojiao.

l Zero Tolerance for Bribery: Suppliers shall adopt a zero-tolerance policy toward any acts of bribery and corruption, and consciously resist corrupt practices.

l Fair Competition: Suppliers shall support an honest, open, fair, and competitive business environment. They are prohibited from bid-rigging, fraud, or any other unfair or dishonest practices.

l Conflict of Interest: Suppliers shall take measures to avoid all forms of conflict of interest and define clear boundaries for employee responsibilities.

l Information Security and Confidentiality: Suppliers shall protect and properly use confidential information, ensuring the confidentiality of the Company's and business partners' information and intellectual property rights. They shall not engage in any activities that infringe upon the Company's or others' intellectual property or damage the Company's reputation. If contractual or legal obligations require confidentiality regarding any other company, suppliers shall not disclose such information to any employee of the Company.


5 劳工和人权

遵守法律法规:供应商应严格遵守运营所在地及国家有关劳工和人权的法律和法规,并遵循国际劳工组织(ILO)规定的核心劳工标准。

禁止雇佣童工:公司倡导所有供应商恪守合规用工准则,严禁在任何情形下雇佣童工(未满16周岁的未成年人),坚决杜绝各类形式的童工使用行为。

禁止强迫劳动和贩卖人口:公司倡导供应商应杜绝任何形式的强迫劳工和贩卖人口。

公平雇佣与反歧视:公司倡导供应商为员工提供平等的机遇和待遇,不得因种族、肤色、年龄、宗教、性别、怀孕、残疾等情况歧视或骚扰个人,包括但不限于聘用、雇佣、培训、调动、晋升、薪酬和解雇。

工作时间、薪酬与福利:公司倡导供应商依法依规保障雇员合法劳动权益,及时足额向雇员支付合理薪酬,薪酬水平不得低于当地法定最低工资标准,并严格按照约定的发薪日期每月发放工资,确保雇员享有合理的休息休假时间,依法为雇员提供法律法规规定的各项福利待遇。

反骚扰:公司倡导供应商不应实施体罚、暴力威胁,或以身体、性、心理或言语等形式的虐待作为在工作场地执行纪律或进行控制的方法。

结社自由与集体谈判:公司倡导供应商应尊重员工结社自由和集体谈判的权利。


5  Labor and Human Rights

l Compliance with Laws: Suppliers shall strictly comply with local and national laws and regulations concerning labor and human rights and adhere to the core labor standards set by the International Labour Organization (ILO).

l Prohibition of Child Labor: The Company advocates that all suppliers abide by compliant employment standards. The employment of child labor (minors under the age of 16) is strictly prohibited under any circumstances, and all forms of child labor shall be resolutely eliminated.

l Prohibition of Forced Labor and Human Trafficking: The Company encourages suppliers to eliminate all forms of forced labor and human trafficking.

l Fair Employment and Non-Discrimination: The Company advocates that suppliers provide equal opportunities and treatment to employees, and shall not discriminate against or harass individuals on the basis of race, color, age, religion, gender, pregnancy, disability, etc. This includes but is not limited to recruitment, hiring, training, transfer, promotion, compensation, and termination.

l Working Hours, Compensation, and Benefits: The Company encourages suppliers to protect the legitimate labor rights and interests of employees in accordance with laws and regulations, pay reasonable remuneration to employees in full and on time, with the remuneration level not lower than the local statutory minimum wage standard. Wages shall be paid monthly strictly in accordance with the agreed payment date to ensure that employees enjoy reasonable rest and leave, and all welfare benefits as required by laws and regulations shall be provided to employees in accordance with the law.

l Anti-Harassment: The Company advocates that suppliers shall not resort to corporal punishment, threats of violence, or any form of physical, sexual, psychological or verbal abuse as means to enforce discipline or exercise control in the workplace.

l Freedom of Association and Collective Bargaining: The Company advocates that suppliers shall respect employees' rights to freedom of association and collective bargaining.


6 环境保护和职业健康安全

遵守法律法规及体系认证:供应商应当满足运营所在地及国家的环境、职业健康与安全相关法律法规要求,应取得并按时更新所有必需的环保手续,并遵守其规定,鼓励按照ISO 14001、ISO 50001、ISO 45001等标准,建立和认证环境、职业健康与安全相关管理体系。


6 Environmental Protection and Occupational Health and Safety

Compliance with Laws and Regulations and System Certification: Suppliers shall comply with the applicable laws and regulations on environment, occupational health and safety of the countries and regions where they operate. They shall obtain and timely renew all necessary environmental protection formalities and abide by relevant provisions. Suppliers are encouraged to establish and certify environmental, occupational health and safety management systems in accordance with standards such as ISO 14001, ISO 50001 and ISO 45001.

对于泸州老窖员工与供应商间可能存在的违规违纪情形,泸州老窖鼓励并欢迎供应商及其员工的投诉与举报,公司将此视为识别和纠正潜在不当行为的机会。
